Cecilio desires to appoint Dealer, the non-exclusive right to sell and distribute Cecilio musical instruments products (“Products”). Dealer desires to
accept appointment, as a Dealer of Cecilio Products. Dealer is engaged in the sale and distribution of musical instrument products and desires to have
the right to sell and distribute the Products upon the terms and conditions set forth below and Cecilio’s standard Terms of Sale (which may change from
time to time).
NOW, THEREFORE, in consideration of the mutual covenants and conditions contained herein, the parties (“Parties”) hereto, intending to be legally
bound, hereby agree as follows:

ディーラーは、この任命を了承することで、Cecilio商品のディーラーとなります。ディーラーは楽器製品の販売と流通に従事し、下記の契約条件とCecilioの販売条件スタンダード（随時改変有）にのっとってて商品の販売、流通権を持つことを望みます。
従って両当事者は、相互の約定と条件に基づき、ここに当事者（「当事者」）は合法的に結束し、ここに以下のように同意するものとします。
よって、ここに含まれる相互の契約ならびに状況に鑑み、本契約の両当事者（「両当事者」）は、法的拘束を意図して、本契約において次の通り合意する。
ディーラーはセシリオ製品のディーラーとしての取り決めを承認することを希望します。
ディーラーは、楽器製品の販売と販促に従事している。そして下記の条件と、セシリオの標準規約（随時変更される可能性がある）に基づいて販売し、販促する権利を希望します。
従って、相互の誓約や条件を考慮して添付の（「当事者」）も含めて、 合法的に合意を締結するものとします。
1. Term
1.1 This agreement commences on the date set out below and will be in effect for one (1) year from the date set out below and will automatically
renew for one (1) year increments.
2. Obligations of Dealer
2.1 In reselling the Products, Dealer must:
a. Distribute, market, and sell Cecilio Products to end-user customers and wholesalers located solely in the United States of America;
b. Market and sell the Products at or above the Minimum Advertising Price (“MAP Price”) set forth by Cecilio in the current Cecilio Price List
(“Price List”).;
c. Display, demonstrate and represent the Products fairly in comparison with other musical instrument products;

2．ディーラーの義務
2.1 商品の再販に関して、ディーラーは以下を順守しなくてはならない：
a.Cecilio製品の流通、市場導入そして販売は、アメリカ合衆国に所在のあるエンドユーザーと卸売業者向けに限定される；
b.商品の市場導入と販売はCecilioによって定められた現行のCecilio価格表（”価格表”）に記載されている最低広告価格（”MAP価格”）か、もしくはそれ以上の価格で行われる；
c.商品の展示、実演、説明は他の楽器製品に公正に比較して行われる；

本契約は下に述べる日付に始まり、下で述べる日付から1年間有効となり、追加の1年間が自動的に更新される。
2. 「ディーラー」の義務
2.1
「製品」の再販売においては、「ディーラー」は以下を行わなければならない。
a. アメリカ合衆国にのみ所在するエンドユーザー顧客と卸売業者に、Cecilio社の「製品」を供給、販売し、
b. 現在のCecilio社の価格表（「価格表」）でCecilio社によって発表された「最低広告価格」（「MAP価格」）以上で、「製品」を販売し、
c. 他の楽器製品と公正に比較して、「製品」を展示、デモ、および表現し、

c.他の楽器の製品と比較し、公正に製品を提示し、デモンストレーションを行い、陳列すること。
d. Comply with all applicable laws in performing your duties under this agreement (and, in particular, not make any false, misleading or
deceptive representation concerning the Products to anyone);
e. Act in accordance with current Cecilio policies and standards for sales, servicing and returns;
3. Terms of Sale
3.1 You must comply with Cecilio’s standard Terms of Sale for all sales of Products to you. These terms of sale will be regarded as being part of
this Agreement. (A copy of Cecilio’s current standard Terms of Sale is attached to this agreement).
3.2 Dealer shall have the right to distribute any other products, including products that may compete with Cecilio Products.

3．販売規約

3.2 ディーラーはCecilio社製品と競合する可能性のある製品を含めた、他社の製品を販売する権利を有する。

3 販売の条件

3.2 販売業者は、Cecilioの製品と競合するかもしれない他の製品も流通させる権利を持つものとする。

3.利用規約

3.2 ディーラーはセシリオ製品と競合する製品を含め、他の製品を販売する権利を有します。

3.3 Subject to the terms and conditions of this Agreement, Dealer acknowledges that prices, discount rates and transaction fees (where
applicable) are subject to change from time to time wit3.4 Dealer may apply for open account by completing a Credit Application Form. Cecilio may grant, withdraw or vary credit as its sole discretion.
4. Trade Marks
4.1 Cecilio hereby grants to Dealer the right to use and display Cecilio’s trademarks, but solely in connection with and to the extent necessary
for the marketing, distribution and support of the Products under this Agreement.
4.2 Dealer shall not remove or alter Products, copyright notices, trademarks, logos or packaging.
3.4 ディーラは信用取引申込書に記入することで、オープンアカウントの申請ができる。Cecilio社は単独の裁量で信用取引の許可、引き揚げ、変更ができる。
4．商標
4.1 Cecilio社はここにCecilio社の商標の利用、表記の権利をディーラーに許諾する。その際、本契約にのっとり、商品のマーケティング、流通、サポートに関連して、もしくはそれらの活動に必要な限りにおいてのみ権利は認められる。
4.2 ディーラーは、商品、Products、著作権通知、商標、ロゴやパッケージを削除または変更してはならない。
本契約の条件を前提として、Dealer社は、価格、割引価格と取引手数料（該当する場合）が取引に応じて変更があることを認めます。
3.4
Dealer社は、請求書をもって請求額に対して支払を完了するものとします。
Cecilio社は、独自の権限として支払を取り下げたり支払を変更したりすることを承諾するものとします。
4. 商標について
4.1
この契約によってCecilio社は、Dealer社がCecilioの商標を正規に使用及び表示するものとし、単独契約として必要な限度においてのみ商標の使用を許可するものとします。
4.2
ディーラーは、著作権表示、商標、ロゴあるいは包装を取り除いたり製品の変更をしてはなりせん。
4.3 Cecilio retains all rights to its trademarks except as specifically granted to Dealer in this section.
4.4 In connection herewith, Dealer authorizes Cecilio to use its name and trademarks solely for purpose of marketing the nature of the dealer
relationship contemplated by this Agreement. Dealer retains all rights and to such a name and trademarks, which must be used in
accordance with Dealer’s trademark guidelines.
5. Intellectual Property Rights
Dealer acknowledges Cecilio’s exclusive right, title and interest in and to any and all Intellectual Property Rights, and Dealer will not at any
time do or cause to be done any act or thing impairing or tending to impair any part of said right, title and interest.
4.4 これに関連して、本契約で期待されているディーラーリレーションシップの本質をマーケティングする目的においてのみ、ディーラーは、Cecilio社にその名前と商標の使用を商標 の使用を認める。ディーラーはその名前、商標等のすべての権利を保持するが、それらはディーラー商標ガイドラインに従って使用されなければならない。
5．知的所有権
ディーラーは、Cecilio社のありとあらゆる知的所有権の排他的権利、権限および利益を認識し、ディーラーは、いかなる時にも本権利、権限および利益の一部でも害したり、または害する恐れのある行為を行う、または引き起こすことをしてはならない。
4.3
特にこの項目で販売業者に与えられる場合を除いて、Cecilio社は、その商標に対するすべての権利を保持します。
4.4
本契約について、販売業者はCecilio社において販売関係者が本契約によってマーケティングの目的だけにその名前と商標を使用する許可を与えます。
販売関係者はすべての権利を保持します。そして、その名前と商標に、販売業者は商標のガイドラインに従って使用しなければなりません。
5. 知的所有権
販売業者はすべての知的所有権において、Cecilio社の独占的な権利、権原、権益を認めます。そして、販売業者は、さまざまな行為をされたり権利を傷つけられる傾向にあったとしても権利、権原、権益においていずれの一部も損なわないものとします。
Dealer acknowledges
and agrees that all of these Intellectual Property Rights shall remain the exclusive property of Cecilio.
5.2 Dealer shall refrain from:
a. Copying, reproducing, customizing or otherwise modifying the Products;
b. Entering into agreements with other Persons, which grant such Persons the right to reproduce copies of the Products. Dealer shall render
Cecilio all reasonable assistance in connection with any matter pertaining to the protection of the intellectual Property Rights, whether in
the courts, administrative agencies or otherwise.
