NOW, THEREFORE, the parties hereby agree as follows:

Article 1 Definitions and interpretation

1. In this Agreement, unless it appears otherwise from the context, in addition to terms which are defined elsewhere, the following words and expressions shall have the following meaning:
1.1 “Agreement” shall mean this Basic Agreement for supplying Goods, Individual Sale Agreement, and all Annexes attached hereto and incorporated herein by reference including all amendment and supplement thereto;

1.3 “Control System” shall mean the computer system that manages the incentive point and procurement of Goods.
1.4 “Defects” shall mean the Goods handed over to the Membership does not conform to the order or has any damages.
1.5 “Goods” shall mean the product(s) and/or the service(s) including with but not limited to the voucher, coupon and right to receive the service which the Seller would like to supply or sell by imputing their information such as kinds, name, qualification, etc. in the Control System of the Buyer with the prior consent of the Buyer in order for the Membership to exchange with the received point. 1.6 “User” shall mean the person who has received the point issued by the Buyer from the client and has been registered in the Control System of the Buyer for using the point for exchanging the Goods.
2. References to clauses, schedules and appendices are, unless otherwise stated, to clauses, schedules and appendices of this Agreement.
3. Words importing the singular include the plural and vice versa. Words importing a gender include every gender and references to persons include bodies corporate or unincorporated and natural persons.
4. References to days, months and years are to calendar days, calendar months and Gregorian calendar years respectively unless the context clearly provides otherwise.

Article 2 Basic Agreement and Individual Sales Agreement

2.1 The Basic Agreement shall prescribe basic matters concerning supply and/or sales transactions relating to the Goods between the Seller and the Buyer, and shall apply to each transaction of purchase and sale of the Goods (hereinafter referred to as the “Individual Sale Agreement”). The order and/or any instruction of Goods including but not limited to the kind, name, qualification, color, quantity, point, delivery date, delivery location, receiver and/or other necessary information shall be deemed as the Individual Sales Agreement.

The Individual Sale Agreement shall be deed as a part of this Agreement.

2.2 At the time as this Agreement expires or is early terminated, all Individual Sale Agreements concluded pursuant to this Agreement shall be automatically terminated; provided, however, that all rights and obligations arising prior to such expiration or termination shall be binding upon the Parties.

2.3 In case of any conflicts or discrepancies among this Agreement, any correspondence, memorandum, Individual Sales Agreement and other documents forming part of any order for services, this Agreement shall govern and prevail, and the printed terms and conditions of any such documents shall be deemed to have been deleted and shall not be binding upon the Seller.

Article 3 Establishment of Individual Sales Agreement

3.1 The Individual Sales Agreement shall be established on the date which the Buyer has issued an order of Goods to the Seller by mail, facsimile, e-mail or the Control System. The Seller shall always check the incoming of order and shall promptly issue the Buyer with such order’s confirmation.

3.2 If the Buyer's order is not accepted, the Seller shall promptly notify the Buyer within three (3) business days of the Seller counting from the date which the purchase order is sent to the Seller. The Seller shall be deemed to have indicated confirmation of order and an Individual Sale Agreement shall be established when notification of refusing order is not given by the Seller despite the elapse of such deadline.



4. Changes to Individual Sales Agreement

4.1 Before Buyer receives confirmation of the order from the Seller, the Buyer can change the details of an Individual Sale Agreement or cancel the order by notifying such change in writing to the Seller. In this case, the Buyer will not be liable for any damage which may occur to the Seller.
4.2 After the Buyer receives the confirmation of the order, if the need has arisen to change the details of an Individual Sales Agreement, the Seller and the Buyer shall promptly notify the other party to such effect and may change of the details of such Individual Sale Agreement by having consulted with the other party.

In such case, purchase orders and order confirmation relating to such Individual Sale Agreement shall be corrected, or new purchase orders and order confirmation shall be prepared and issued. If the other party has suffered damages following changes to an Individual Sale Agreement, the parties shall discus for solving such incurred damages.
Article 5 Goods Delivery

5.1 The Seller shall, at its owned cost and expense deliver the Goods to the User at the delivery location specified in the Individual Sale Agreement within 14 days from date that the order has been confirmed.
