IN NO EVENT SHALL AMP BE LIABLE FOR ANY INDIRECT, INCIDENTAL, LIQUIDATED, PUNITIVE, CONSEQUENTIAL, OR EXEMPLARY DAMAGES OR LOST PROFITS ARISING OUT OF THE USE OF OR INABILITY TO USE THE LICENSED MATERIAL, PRODUCT, OR OTHER ENHANCEMENTS INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LOSS OF GOODWILL, WORK STOPPAGE, COMPUTER FAILURE OR MALFUNCTION, OR ANY AND ALL OTHER COMMERCIAL DAMAGES OR LOSSES, EVEN IF ADVISED OF THE POSSIBILITY THEREOF, AND REGARDLESS OF THE LEGAL OR EQUITABLE THEORY UPON WHICH THE CLAIM IS BASED. JX agrees to defend, indemnify and hold GW and AMP and their trustees, directors, officers, employees, agents, and advisors harmless from and against any and all claims, demands, losses, costs, expenses, deficiencies, liabilities, or causes of action of any kind or nature (including, without limitation, reasonable attorneys’ fees, and other costs and expenses of defense) based upon, arising out of, or otherwise relating to:
(a) The use of the Licensed Materials, Other Enhancements or any modifications made thereto by JX or any of its end users or sub-sublicensees and any results to be derived therefrom;
(b) The production, use, practice, or license of any Product or any results to be derived therefrom;

JXはGWとAMPおよびその受託人、取締役、役員、従業、代理人、顧問を、以下に挙げる事項に基づいてまたはそれらから生じるまたはそれらに関連して生じるあらゆるクレーム、要求、損失、費用、出費、不足、責任ならびにあらゆる種類または性質の行為の原因（妥当な弁護士費用やその他防衛に要する費用）から損害を受けないように防衛することに合意する：
(a)JXまたはそのエンドユーザーまたはサブライセンシーによりライセンス許諾された材料、その他の改良または修正の使用、ならびにそれらから結果として派生したもの；

(c) Any advertising or other promotional activities with respect to (a) and/or (b) above;
(d) JX's failure to obtain any applicable regulatory or other approvals as required under Section 1.7 of this Agreement;
(e) JX’s compliance with, and performance of, its representations and warranties given under and its obligations pursuant to this Agreement or any agreement between JX and any third party; and
(f) any third party claims alleging that the Products, the use of the Products, JX's or its agents' or licensees' use of the Licensed Materials or Other Enhancements, or the JX Enhancements or use of the JX Enhancements result in infringement of such third party's intellectual property rights.
