以降、Fb Hatman を 「FH」、Gip sad Inc を「GS」と記載します。
・2015年7月8日～2016年1月末日の契約期間で、GSはFHの日本総販売代理店となります。
FHはこの契約期間内、GS以外の日本国内に販路を持つ会社や個人に卸売販売をしない。
・2016年1月に、2016年の年間最低発注量を協議して決める。
この際に2016年2月以降の契約更新を是非を決める。
決定後に本契約書を作成する。

Deal memo regarding the contract of agency in Japan between FH and GS
We shall list Fb Hatman as "FH" and Gip sad Inc as "GS" hereinafter.
During the contract period between July 8th 2015 and end of January 2016, GS is a sales agency of FH in Japan.
In this period, FH is not allowed to sell to company or individual that has a sales route in Japan by wholesale other than the GS.
In January 2016, they decide by discussing the minimum order quantity for the year 2016.
On this occasion, they shall also decide renewal of the contract after February 2016.
After its decision, we draw up an agreement.
We shall list Fb Hatman as "FH" and Gip sad Inc as "GS" hereinafter.

・米国から商品発送の場合、FHからGSへの卸売販売価格は
Dealer Price Listの価格から25％OFFとする。
(しかし1度の発注が$3,500以上の場合は交渉の余地ありとする。)

GS will be responsible for its operation and incur all of the associated costs.
Wholesale price from FH to GS will be 25% of the Dealer Price List when products are shipped from U.S.
(There will be an option for price negotiation when an order is more than $3,500.00)
