SUBCONTRACTOR agrees that it will keep confidential and not disclose, disseminate or publish the features of any equipment, tools, gauges, patterns, designs, drawings, engineering data, computer programs and software or other technical or proprietary information furnished, loaned or bailed by RPSEA hereunder (hereinafter collectively referred to as “Items/ Information”), and use such Items/Information only in the performance of this Subcontract or, if authorized, other orders from RPSEA and not otherwise, without RPSEA's prior written consent.

下請人は、本契約に基づいてPRESAから提供、貸し出し又は一次的に引き渡された装置、ツール、ゲージ、パターン、設計、図面、エンジニアリングデータ、コンピュータープログラム、ソフトウェアの特徴又は他の技術情報や所有情報（以下、「アイテム／情報」という）を秘密として保持し、漏洩したり公開しないものとし、それらのアイテム／情報を下請人の業務の遂行に関してのみ使用、あるいはPRESAからの他の指令により許可されている場合はそれに従って使用するものとし、PRESAの事前の書面による合意なしにはその他の形で使用しないものとする。

下請業者は、本契約書の記載に従い、RPSEAから提供された、賃借された、或いはRPSEAにより提供された全ての装置の、ツール、ゲージ、パターン、デザイン、図面。技術データ、コンピュータプログラムやソフトウェア、そして他の技術的や知的財産情報(これ以降集合的にアイテム/情報称する)、また、それらのアイテム/情報を下請け業者自身の業務の使用に限定すること、或いはRPSEAの書面による承諾書をもって他の注文に対して使うことが許可された場合を除き、アイテムの機能と情報を秘匿し、開示、公開、或いは発表しないことに合意する。

Notwithstanding any other provision herein, RPSEA and SUBCONTRACTOR shall each retain ownership of, and all right, title and interest in and to, their respective pre-existing Intellectual Property.
All such Items furnished, loaned or bailed by RPSEA hereunder, or fabricated, manufactured, purchased, or otherwise acquired by SUBCONTRACTOR for the performance of this Subcontract and specifically charged to RPSEA, are the property of RPSEA.

本契約の他の規定にかかわらず、PRESAと下請人はそれぞれがもともと持っていた知的財産権の全ての権利、権原及び利益を持ち続けるものとする。
本契約に基づいてPRESAから提供、貸し出し又は一次的に引き渡されたアイテム、又は下請人の業務遂行のために下請人が制作、製造、購入又はその他の形で入手し特にPRESAに費用請求されたアイテムはPRESAの財産となる。
