Only if you pass on the stories to someone else, you can free yourself from the curse. If you tell a story somebody, you will forget them immediately. Hi, again. Okay, here are the pics of the damaged maneki cat. First of all the packing materials were minimal, the box too short (packing a ceramic figurine of 11 inches tall in a 12 inch box), and the box was of soft cardboard. I sure wanted the figurine rather than a refund .... that was a beautiful maneki cat!!!

12.8 Force Majeure. No liability hereunder shall result to a Party by reason of delay in performance caused by force majeure that are circumstances beyond the reasonable control of the Party, including, without limitation, acts of God, fire, flood, war, civil unrest, labor unrest, or shortage of or inability to obtain material or equipment.

12.9 Entire Agreement. The terms and conditions herein constitute the entire Agreement between the Parties and shall supersede all previous agreements, either oral or written, between the Parties hereto with respect to the subject matter hereof.

12.7 Reformation. All Parties hereby agree that neither Party intends to violate any public policy, statutory or common law, rule, regulation, treaty or decision of any government agency or executive body thereof of any country or community or association of countries; that if any word, sentence, paragraph or clause or combination thereof of this Agreement is found, by a court or executive body with judicial powers having jurisdiction over this Agreement or any of its Parties hereto, in a final unappealed order to be in violation of any such provision in any country or community or association of countries, such words, sentences, paragraphs or clauses or combination shall be inoperative in such country

12.7　改革
すべての当事者は以下の内容に同意するものとする。いずれの当事者も政府機関及び国家や自治体の執行機関、各国の協会の公共政策、法律及び一般法、規則、規制、条約及び決定に違反する意図を持たないこととする。もし本契約において言葉、文章、段落、条項もしくはその組み合わせが本契約及び当事者のいずれかを管轄する司法権を有する裁判所もしくは執行機関に見つかった場合、国や自治体及び各国の協会の規定違反として終審命令において、言葉、文章、段落、条項もしくは組み合わせはその国において利用不可となる。

12.6 Non-Waiver. The Parties covenant and agree that if a Party fails or neglects for any reason to take advantage of any of the terms providing for the termination of this Agreement or if a Party, having the right to declare this Agreement terminated, shall fail to do so, any such failure or neglect by such Party shall not be a waiver or be deemed or be construed to be a waiver of any cause for the termination of this Agreement subsequently arising, or as a waiver of any of the terms, covenants or conditions of this Agreement or of the performance thereof. None of the terms, covenants and conditions of this Agreement may be waived by a Party except by its written consent.

12.6　放棄の取りやめ。当事者は以下のことに契約し、合意するものとする。もしある当事者が何かしらの理由で本契約の終了をもたらす何かしらの条件を発動することを失敗し無視した場合、もしくは、本契約の終了を宣言する権利を持つ者がそうし損なった場合、各当事者によるあらゆる失敗や怠慢は棄却するものと考えられるか、もしくは続いて生じる本契約の終了のあらゆる原因の棄却として見なされるか、もしくは本契約もしくはこの遂行のあらゆる条項、契約、事情の棄却として見なす。書面合意を除いてある当事者によって放棄される本契約の条項、契約、条件はない。

causes of action, lawsuits or other proceedings filed or otherwise instituted against any of the CUSTOMER Indemnified Parties related directly or indirectly to or arising out of any action taken or omission by the PRODUCER. Each Party shall assume responsibility for all costs and expenses related to such claims and lawsuits for which it is obligated to indemnify the other Party, including but not limited to all reasonable attorneys’ fees and costs of litigation or other defense. The Parties shall each have product liability and other general insurance coverage for their respective business activities related to the Subject Product in commercially reasonable amounts.

CUSTOMER agrees that it will defend, indemnify and hold harmless PRODUCER, its researchers, employees, officers, trustees, directors, and each of them (the “PRODUCER Indemnified Parties”), from and against any and all claims, causes of action, lawsuits or other proceedings filed or otherwise instituted against any of the PRODUCER Indemnified Parties related directly or indirectly to or arising out of any action taken or omission by the CUSTOMER. This Agreement and the rights granted hereunder shall not be assigned by CUSTOMER without the prior written consent of PRODUCER.

10. GOVERNMENTAL COMPLIANCE

CUSTOMER shall at all times during the term of this Agreement and for so long as it shall sell Subject Product comply and cause its Affiliates to comply with all laws that may control the import, export, manufacture, use, sale, marketing, distribution

8.4　本契約の継続は終了時もしくはその前に生じる他者に対する当事者のあらゆる権利の終了もしくは放棄に基づくものである。第6項の義務は本契約の終了に従う。

9.　譲渡

本契約及びここに付与された権利は製作者の事前の合意書類なしでは消費者によって譲渡されない。

10.　政府のコンプライアンス

消費者は本契約期間中いかなるときも、対象商品の販売において関連会社が輸出入、製造、使用、販売、マーケティング、流通を管理する法律を順守するように努めなければならない。

7. TRADEMARKS

PRODUCER reserves the right to, at their sole discretion, periodically review and monitor CUSTOMER’s use of their marks for proper trademark usage, quality of goods, and other criteria as may be required by law to preserve PRODUCER’s rights, good will, and value in its trademarks.

8. TERM, TERRITORY AND TERMINATION

Unless earlier terminated as hereinafter provided, this Agreement shall continue in full force and effect for a period of one (1) year from April 1, 2008 through March 31, 2013, after which extension will be possible subject to negotiation.

7.商標

製作者は独自の裁量で適切な商標の使用、製品の品質、その他法によって商標における製作者の権利、営業権及び価値の保護を求められうる基準に関して、商標の消費者の使用を調査し、監視する権利を有する。

8.期間、領域及び解雇

以下に記載されているような早期終了が行われない限り、本契約は2008年4月1日から3月31日までの1年間、全ての効力を持ち続ける。なお、2013年以降交渉の対象になりうることがある。

6. NONDISCLOSURE AGREEMENTS AND CONFIDENTIALITY

The Parties shall only disclose Proprietary Information to those employees and independent contractors who require access to the Proprietary Information to permit a Party to exercise its rights and perform its obligations under this Agreement. A Party shall not disclose any Proprietary Information to any employee or independent contractor unless the employee or independent contractor has signed a nondisclosure agreement incorporating provisions obligating the employee or independent contractor to maintain the confidentiality of the other Party’s Proprietary Information.

which purposes shall include disclosure to subcontractors and second sources, both in accordance with nondisclosure agreements. The standard of care to be exercised by the receiving Party to meet these obligations shall be the standard exercised by the receiving Party with respect to its own proprietary information of a similar nature, but in no event less than due care.


5. OWNERSHIP

Each Party retains all rights and title to all Proprietary Information, in any form, disclosed to the other Party pursuant to this Agreement. Each Party acknowledges that such information is of substantial value and that any disclosure or misuse of such information is harmful to the originating Party.

4. RESTRICTIONS

The Parties agree, for a period of five (5) years from the date of disclosure, without the prior written consent of the other Party regarding a specific contemplated transaction: (a) not to disclose Proprietary Information of the other Party outside of the receiving Party (b) to limit dissemination of the other Party’s Proprietary Information to only those of the receiving Party’s officers, directors and employees who require access thereto to perform their functions regarding the purposes of his Agreement;

(ii)受託者によって独自に発展したもの、(iii)開示者によって公開されたもの、(iv)開示において制限なく第三者から受託者によって正当に受け取ったもの、(v)開示者によって制限なくリリース及び開示することを承認されたもの、もしくは(vi)開示者が製品及び開示を保護し、制限する機会を持てるように受託者が開示者に迅速な要求の通知を送る場合において、法律、規則もしくは裁判所命令に従って作られたものもしくは、開示されたもの
