第8条（不当製造の禁止)乙は甲の書面による同意無くして甲商品を変造、加工あるいは、模造品を製造するなどの一切の行為をしてはならない。
第9条(契約違反時の措置)乙がこの契約に違反した時は、甲はその違反の程度に応じてそれぞれ次の措置を取る事が出来る。
(1)警告(2)期限付きの取引制限又は停止(3)販売代理店契約の解除(4)損害賠償の請求
第11条(管轄裁判所)この契約に関し、訴の提起等紛議が生じ裁判となった場合は、甲の本社所在地にある裁判所を管轄裁判所とする。

Article 8. Prohibition of unauthorized production. The Distributor shall not modify or amend the Product, nor make a counterfeit of the Product without prior written consent of the Company A.
Article 9. Breach of the Agreement. If the Distributor breaches this Agreement, the Company A may take any of the following measure according to the degree of such breach: (1) give a warning; (2) suspension or stop of the transaction for a certain period; (3) termination of this Distributorship Agreement; (4) seeking for damages.
Article 11. Competent Jurisdiction. Where any dispute arise and any action is to be initiated, the competent court of the Company A's location shall be the competent jurisdiction.
