第8条（不当製造の禁止)乙は甲の書面による同意無くして甲商品を変造、加工あるいは、模造品を製造するなどの一切の行為をしてはならない。
第9条(契約違反時の措置)乙がこの契約に違反した時は、甲はその違反の程度に応じてそれぞれ次の措置を取る事が出来る。
(1)警告(2)期限付きの取引制限又は停止(3)販売代理店契約の解除(4)損害賠償の請求
第11条(管轄裁判所)この契約に関し、訴の提起等紛議が生じ裁判となった場合は、甲の本社所在地にある裁判所を管轄裁判所とする。
Article 8 (Prohibition of the unfair production) Party B must not do any kind of behavior such as forging, processing or producing imitations of Party A's products without the written consent with Party A.
Article 9 (measures when the contract was broken) When Party B break the contract, Party A take next measures depending on degree of the violation.
(1) warning (2) restrict or stop the time-limited business (3) Cancel the sales agent contract (4) Request of the compensation for damages
Article 11 (competent court) About the contract, when a complicated argument occurs, a court in the head office location of Party A will play a role as the competent court.
