当会社は、社外取締役の間に、当会社に対する損害賠償責任に関する契約を締結することができる。ただし、その損害賠償責任の限度額は、１０万円以上であらかじめ定められた金額または法令が規定する額のいずれかを高い額とする。当会社は、社外監査役との間に、当会社に対する損害賠償責任を限定する契約を締結することができる。ただし、当該契約に基づく責任の限度額は、法令が規定する額とする。
We may conclude an agreement with outside directors pertaining to the liability for damage against us. However the upper limit of the liability for damage amount must be whichever the higher amount of either the prescribed amount of over JPY100,000 or legally prescribed amount. We may conclude an agreement with outside auditors pertaining to the limitation to the liability for damage against us. However the upper limit of the liability amount based on this agreement shall be the legally prescribed amount.
