Company hereby appoints the purchaser as its exclusive Agent to market and promote the Products, and to solicit purchase orders for the Products, in the Territory. Agent hereby accepts such appointment and agrees not to use a third party to perform its obligations pursuant to this Agreement without the prior written consent of Company. It is expressly agreed that the Agent has no authority to enter into agreements or make any commitments on the Company’s behalf.
In the event that the Supplier is unable to supply to the Purchaser an ordered Goods, the Agent may at its own discretion request the Supplier to substitute a good considered to be equivalent to the Goods.
本契約書によって、会社は、購入者を本契約区域において本製品の販売、宣伝および本製品の購入注文を仲介するための総代理店として指名する。総代理店は、これを受諾し、会社の書面による事前の同意なく、本契約書に定める義務を遂行するために第三者を利用しないことに同意する。総代理店は、会社の代理人としていかなる契約または確約も締結する権限を有さないことを明示的に同意する。
供給者が購入者に注文製品を供給できない場合、総代理店は、自身の判断によって、本製品に相当すると思われる代替品を供給者に要求することができる。
