甲が次の一つに該当した時は乙は催告をしないで甲乙間の売買契約を解除すること。
乙に不正な商品(売買契約で指定されたメーカーの贋物）を引き渡したとき。
乙に商標権違反若しくは著作権違反又は関税法違反の商品を引き渡したとき。
乙に正規輸入書類（メーカーズ インボイス）の提出できない商品を引き渡したとき。
乙にその他、知的所有権侵害のある商品を引き渡したとき。
第二項若しくは前項の場合、乙が蒙った損害については乙は甲に請求する。
その場合、甲は直ちに支払うこと。

If the Supplier commits one of the following actions, the buyer has the right to terminate the supply contract between the Supplier and the Buyer without making a formal demand; if the Supplier supplied the illegal items (copy item of manufacturer designated in the contract), supplied the items infringing the trademark or copy rights or violating the Customs Act, supplied the items of which official import documents(invoice from the manufacturer) could not be submitted and supplied the items infringing the intellectual property right and others. If the Supplier violates the provisions stated in the clause 2 or the previous clause, the buyer has the right to claim the direct and indirect damages resulted and the Supplier agreed to pay the claimed damages immediately.
