２　前項の規定にかかわらず、当会社の社員は、やむを得ない事由がある場合には、いつでも退社することができる。この場合、持分の払い戻しは、その出資の目的の種類にかかわらず、金銭によってこれをするものとする。
　３　社員が死亡した場合又は合併により消滅した場合における、その社員の持分は、当該社員の相続人その他の一般承継人が承継することとする。ただし、退社に伴う持分の払戻しはしない。
