２ 前項の規定にかかわらず、当会社の社員は、やむを得ない事由がある場合には、いつでも退社することができる。この場合、持分の払い戻しは、その出資の目的の種類にかかわらず、金銭によってこれをするものとする。
３ 社員が死亡した場合又は合併により消滅した場合における、その社員の持分は、当該社員の相続人その他の一般承継人が承継することとする。ただし、退社に伴う持分の払戻しはしない。

3, In the case of employees passed away or this company merged, the contribution will be succeeded by their heir or other general successor. However, no contribution will be refunded on their resignation。
