"Purchase Order" means an order in writing placed by the Company with the Exporter pursuant to Clause 4 for the supply of the Product;
"Product Specifications" means the exterior design, color and packaging of the Product as provided by the Company, full details of which are set out in Schedule 1;
"X Specifications" means the technology, design, drawings, manufacturing techniques, technical information, know-how, secret formulae, secret processes and confidential information relating to the development and manufacture of X;
It is hereby agreed that the Contractor shall be entitled to sub-contract or engage or otherwise any third party to manufacture the Product pursuant hereto.

「購入注文」とは第4条に従って企業により輸出者に発注される、商品の供給を求める書面形式の注文を意味する。
「商品詳細」とは企業から提供される商品の外見のデザイン、色、商品の同梱物を意味し、その全ての細目は表1に列記される。
「X 詳細」とはXの開発製造に関係する技術、デザイン、図面、製造技法、技術情報、ノウハウ、極秘の公式、極秘の過程、機密情報を意味する。
請負人の、商品の製造のための下請や雇用者、その他サードパーティ等の利用を、ここに認めるものとする。

「発注書」は発注する会社と輸出業者が商品供給契約書に従って発行する書面による発注書です。
「商品仕様書」は、その商品を製造する会社が提供する外観設計、色、及び包装に関する意味し、詳細は仕様書詳細(Schedule)1に記載されています。
「X仕様」は、Xの開発や製造に関連する技術、設計、図面、製造技術、技術情報、ノウハウ、社外秘調合比、社外秘処理、企業秘密を意味します。契約者が下請けに製造させること、或いは自社で製造すこと、或いは第三者に本契約に準じて製造させる権利があることをここに合意します・

"Trademarks and Logos" means the trademarks and logos provided by the Company to the Contractor and the Exporter as set out in Schedule II of this Agreement or as amended to the Schedule as requested by the Company from time to time, where such changes shall be notified to the Contractor with prior two months' written notice;
The Company shall appoint the Contractor, and the Contractor shall accept the appointment of, the exclusive right to manufacture, produce, package and supply the Product for the Company by redesigning X in accordance with the Company's request with the Product Specifications and Trademarks and Logos.

「商標と意匠」とは、企業により請負人と輸出者に提供される商標と意匠を意味し、この同意書の表IIに列挙され、都度企業の要求に従い改訂されるが、斯様な変更は二ヶ月前もって書面で請負人に提示されるものとする。
企業は請負人に、企業の要求に従いXの商品詳細、商標、意匠のリデザインをすることによる商品の製造、生産、梱包、供給に対する企業の占有権を委嘱し、また請負人はこれを受諾するものとする。

「商標や意匠文字」とは企業が本同意スケジュールⅡに提示される契約者及び輸出者に提供する商標及び意匠文字であり、又は企業により時間とともに要求されるスケジュールの変更等、修正事項は２ケ月前に書面にて通達すべきである。企業と契約者は、製品詳細書及び商標並びに意匠文字について企業の要求に従ってXの再デザインによる製造、製作、包装及び製品供給についての排他的権利についての同意及び受領を執り行うこと。
