10. Waiver
10.1 Cecilio can exercise any right it has against Dealer even if it may not previously have exercised that right or it may have excused Dealer from
complying with it. Any waiver by Cecilio of complying with any of Dealer’s obligations must be in writing.
11. Assignment
11.1 Dealer cannot transfer or assign any of its rights or obligations hereunder to any third party or entity, and this Agreement may not be
involuntarily assigned or assigned by operation of law or change of control, without the prior written consent of Cecilio, which consent shall
be given or withheld by Cecilio in the exercise of its sole discretion.

10. 権利放棄
10.1 Cecilio社は、「ディーラー」に対して有する全ての権利を、たとえ仮にその権利をそれまでに行使したことがなかった場合や、「ディーラー」がそれに従わなくてもよいとしたことがあった場合でも、行使できる。

11. 権利譲渡
11.1 「ディーラー」は、下記のその権利または義務のどれも、いかなる第三者または法人に譲渡することができず、本契約は、Cecilio社の書面による事前の同意なしに、不本意に譲渡されたり、法律適用の効果、または経営の変更によって、譲渡されえず、かつかかる同意は与えるも保留するも、Cecilio社がその自由裁量によってなすものとする。
