15. Governing Law
15.1 This Agreement shall be governed by and construed in accordance with the laws of the State of California applicable thereto. If any
provision of this Agreement is deemed invalid by a court competent jurisdiction, such provision shall be enforced to the maximum extent
permitted and the remainder will remain in full force.

17. Entire Agreement
17.1 This Agreement and Cecilio’s standard Terms of Sale constitutes the entire understanding and contract between the parties and supersedes
any and all prior and contemporaneous, oral or written representations, communications, understandings and agreements between the
parties with respect to the subject matter hereof.
