10. Waiver
10.1 Cecilio can exercise any right it has against Dealer even if it may not previously have exercised that right or it may have excused Dealer from
complying with it. Any waiver by Cecilio of complying with any of Dealer’s obligations must be in writing.
11. Assignment
11.1 Dealer cannot transfer or assign any of its rights or obligations hereunder to any third party or entity, and this Agreement may not be
involuntarily assigned or assigned by operation of law or change of control, without the prior written consent of Cecilio, which consent shall
be given or withheld by Cecilio in the exercise of its sole discretion.

10.1　過去に本権利を未行使またはディーラーを本権利の拠準から免除した場合、セシリオ社はディーラーに対し所有するいかなる権利をも行使できる。同社によるディーラーの義務への拠準の破棄は書面により行われる。

11. 譲渡
11.1 ディーラーはいかなる第三の人物または団体へ権利または義務を譲渡することができない。本契約は、セシリオ社の書面による事前の許可なく法律の執行または管理の変更により非任意に譲渡されない。本許可は、独自の裁量の行使により同社が付与または撤回する。
