any act or omission of Customer or Customer’s Exporter; and/or (iii) Customer’s breach or the inaccuracy of any of the warranties or representations made by Customer herein. If any governmental agency seeks to assess or collect any tax from xx that, by the terms of the foregoing paragraph, is the responsibility of the Customer, Customer shall immediately notify xx of such claim and thereafter cooperate fully with xx to defend against the proposed assessment. If any such liability is ultimately assessed against xx, Customer shall indemnify and hold xx harmless from and against any such claim.
