"Purchase Order" means an order in writing placed by the Company with the Exporter pursuant to Clause 4 for the supply of the Product;
"Product Specifications" means the exterior design, color and packaging of the Product as provided by the Company, full details of which are set out in Schedule 1;
"X Specifications" means the technology, design, drawings, manufacturing techniques, technical information, know-how, secret formulae, secret processes and confidential information relating to the development and manufacture of X;
It is hereby agreed that the Contractor shall be entitled to sub-contract or engage or otherwise any third party to manufacture the Product pursuant hereto. "Trademarks and Logos" means the trademarks and logos provided by the Company to the Contractor and the Exporter as set out in Schedule II of this Agreement or as amended to the Schedule as requested by the Company from time to time, where such changes shall be notified to the Contractor with prior two months' written notice;
The Company shall appoint the Contractor, and the Contractor shall accept the appointment of, the exclusive right to manufacture, produce, package and supply the Product for the Company by redesigning X in accordance with the Company's request with the Product Specifications and Trademarks and Logos.
