12.8 Force Majeure. No liability hereunder shall result to a Party by reason of delay in performance caused by force majeure that are circumstances beyond the reasonable control of the Party, including, without limitation, acts of God, fire, flood, war, civil unrest, labor unrest, or shortage of or inability to obtain material or equipment.
12.9 Entire Agreement. The terms and conditions herein constitute the entire Agreement between the Parties and shall supersede all previous agreements, either oral or written, between the Parties hereto with respect to the subject matter hereof.
12.8 不可抗力。
天災、火災、洪水、戦争、内戦、労働争議または材料や機材をの不足やそれらが得られないなどのことを含め、関係者の良識の範囲内でいう制御を超えた状況、つまり不可抗力によって生じたパフォーマンスの遅れの原因による責任は、関係者に帰さない。
12.9 全面的合意。ここにある規約と条件は関係者間の全面的合意を形成し、この合意書に関する内容については、口頭書面を問わず、関係者間のすべての事前合意に優先する。
