PROPRIETARY INFORMATION

DEFINITION “Proprietary Information” as used herein shall mean all or any portion of only the: (a) written, recorded, graphical or other information in tangible form disclosed during the term of this Agreement, by one party to the other party which is labeled “Proprietary”, “Confidential”, or with a similar legend denoting the proprietary interest therein of the disclosing party; (b) oral information which is disclosed by one party to the other party to the extent it is identified as “Proprietary” or “Confidential” at the time of oral disclosure, is reduced to written or other tangible form within thirty (30) days of oral disclosure,

定義　本書において「専有情報 (Proprietary Information)」とは、以下に挙げるものすべて又は一部を意味する。(a)本契約期間中、一方の当事者により他方の当事者に、「Proprietary (専有)」「Confidential (機密)」または開示者の所有権を示す同様の凡例をもって、書面、記録媒体、図面、その他有形の形式で開示された情報。（b）一方の当事者から他方の当事者へ、その開示時に「Proprietary (専有)」又は「Confidential (機密)」と明示された範囲内で口頭で開示された情報で、口頭の開示より30日以内に書面または他の有形の形式によって提供されたもの。

所有情報

当書面における「所有情報」の定義は以下の内容を指すものである。(a)当契約期間において、ある当事者から「所有権」「秘密保持」もしくは開示当事者に関する所有物であることが記された同様のものを有する他の当事者に開示された書面、記録、図形および有形情報(b)ある当事者が他方に開示した口頭情報、それは口頭開示時に「所有権」および「秘密保持」として認められたもの、口頭開示の30日以内に書面もしくはその他有形で記されたものを指す。
