Supplier shall not be paid for any amount of lost profits on canceled orders, or for any avoidable costs incurred after receipt of notice of cancellation, including but not limited to any costs incurred by Supplier's suppliers or subcontractors which Supplier could reasonably have avoided. No termination for convenience shall relieve Supplier or University of its obligations as to any goods or services delivered hereunder. Any claim for adjustment hereunder must be asserted within thirty (30) days after the date of Supplier's receipt of notice of cancellation.
供給業者には、供給業者が合理的に想定され得る供給業者の供給業者もしくは下請け業者により発生したいかなるコスト（を含むがこれに限定されるものではない）キャンセルされた注文の損失額もしくはキャンセル通知受領後に発生した回避可能なコストも支払われないものとする。
供給業者および大学は本契約に基づき発注者の都合による契約解除によって提供された商品やサービスの義務から免除されないものとする。本契約に基づくあらゆる調整のための要求は供給業者がキャンセル通知を受領した日から30日以内に主張される必要がある。
