MBO案件の指揮
- 案件概要: 経営陣による親会社からの株式買取りに伴う資本再構成の案件: SPCを通じた親会社A社と既存株主B社が保有する株式の買取り、外部投資家(C社)からの資金調達、SPCとの合併を通じたManagement Buyout案件
- 役割: CFOとして、持分最大化を目的とするディール・ストラチャーの立案、親会社ユナイテッド及びリクルートとの株式譲渡の交渉、VCとの投資契約交渉、既存株主との合併対価の交渉、ドキュメンテーション全般、スケジューリングに携わる
Instruction of MBO proposal
Overview of proposal: Proposal of restructuring capital along with purchasing stock by parent company from management: Purchasing stock held by Company A, parent company and Company B, existing company through SPC, collecting money from investor outside (Company C), Managemen Buyout proposal through merger of SPC
Role: As CFO, I made a proposal of deal structure for the purpose of maximizing equity, negotiated stock transfer with United, parent company and Recruit, negotiated investment contract with VC, negotiated merger price with existing stockholder, documentation in whole and scheduling
