It is understood that one or more US Governmental Authorities funded research, during the course of or under which certain of the Licensed Materials were conceived or made, as a result, the US Government is entitled, as a right, under the provisions of the Code of Federal Regulations, to a non-exclusive, non-transferable, paid-up license to practice or have practiced and use the affected Licensed Materials for governmental purposes. Exhibit A identifies which portions of the Licensed Materials were developed using funding provided by a US Governmental Authority.

GW retains all rights it has regarding the Licensed Materials. AMP retains all rights it has regarding the Licensed Materials, but not limited to, the right to access, install, execute, use, copy, distribute, and modify of the Licensed Materials, to make, develop, use, lease, offer to license, offer to sell, import, and export GW’s rights in the Licensed Materials, and to sublicense the Licensed Materials to third parties, including, without limitation, the right to license Products to end users worldwide. For purposes of this Agreement, JX Enhancements shall mean any customizations, improvements, modifications, fixes or enhancements that JX, its employees, or sub-sublicensees make to the Licensed Materials.
