第１２条 当会社は、毎事業年度末日の最終の株主名簿に記載又は記録された議決権を有する株主をもって、その事業年度に関する定時株主総会において権利を行使することができる株主とする。
２ 前項のほか、株主又は登録株式質権者として権利を行使すべき者を確定するために必要があるときは、取締役の過半数の決定をもって予め公告して臨時に基準日を定めることができる。

Article 12 The Company determines shareholders who are described or recorded on the final list of shareholders at the end of each fiscal year and has voting rights as shareholders who can exercise their voting rights at the regular shareholders' meeting regarding the fiscal year.
2 In addition to the matters set forth in the preceding paragraph, the Company may establish the provisional record date by making an advance public notice based on the decision of the majority of directors when necessary to determine those who can exercise their rights as shareholders or registered pledgee of shares.
