10. Waiver
10.1 Cecilio can exercise any right it has against Dealer even if it may not previously have exercised that right or it may have excused Dealer from
complying with it. Any waiver by Cecilio of complying with any of Dealer’s obligations must be in writing.
11. Assignment
11.1 Dealer cannot transfer or assign any of its rights or obligations hereunder to any third party or entity, and this Agreement may not be
involuntarily assigned or assigned by operation of law or change of control, without the prior written consent of Cecilio, which consent shall
be given or withheld by Cecilio in the exercise of its sole discretion.

10.権利放棄
10.1 セシリオはたとえ以前にその権利を行使していなくても、あるいは、ディーラーに従うことを免除していたとしても、ディーラーに対して持つどのような権利をも行使することができる。ディーラーの義務のいずれに従うことのセシリオの権利放棄は書面でなされなければならない。
11.譲渡
11.1ディーラーはその権利や義務を第３者や団体に移転したり譲渡することはできない。また本契約は、セシリオによる事前の書面による同意なしに、不本意に譲渡されたり、法の作用や支配権の変更により譲渡されてはならず、その同意は単独の裁量の行使により、セシリオによりなされるか、保留されるものとする。
