7. Indemnity
7.1 Dealer will defend and indemnify Cecilio (including reasonable legal fees and costs of litigation or other dispute resolution process,
including arbitration) against and hold Cecilio harmless from, any and all claims by any other party resulting from Dealer’s acts (other than
the mere marketing of the Products), omissions or representations, regardless of the form of action.
7.2 Cecilio is not liable and does not indemnify Dealer for any costs or other liabilities Dealer may incur. Dealer is acting as an independent
contractor for Cecilio and Dealer cannot bind Cecilio to any obligation except to the extent authorized in writing by Cecilio.
