8. Termination
8.1 Cecilio can terminate this agreement by a written notice of termination, if dealer:
a. Goes into liquidation, receivership, become insolvent or enters into an arrangement or composition with creditors;
b. Breach any terms of this agreement or any terms of Cecilio’s standard Terms of Sale; or
c. Act in a manner, which in Cecilio’s opinion is contrary to its business interests.

9. Consequences of Termination
9.1 Upon termination of this agreement, Dealer must immediately:
a. Stop using any trademarks, trade names and intellectual property of Cecilio or any third party licensor of Cecilio;

8. 契約解除
8.1代理店が次の状態、或は状況になった場合、Cecilioは書面による解除通知をもって本契約を解除することができる。
a. 会社が清算になる、破産管理下なる、破産、或は会社と債権者間の和議になる。
b.本契約のいずれかの条項に違反した、或はCecilioの標準販売規約のいずれかに違反した。
c. Cecilioの見解として事業利益に不利となる行為を行う。

9. 契約解除による影響
9.1 契約が解除され次第、販売者は次の行為を直ちに停止しなければならない。
a. 全ての商標、商品名を使用すること、またCecilioの知的財産、或は第三者のCecilioのライセンスを与える権利の全てを停止すること。
