if there is any damage to the User or the third party arising from breaching any or more of representations and warranties of the Seller under this Agreement and/or breaching any of other provisions of this Agreement and/or Individual Sales Agreements, the Seller shall be solely responsible for any losses and damages and shall compensate the said third party for such damage in all respect.
Notwithstanding the foregoing indicated in Clause 14.1 or Clause 4.2 above, the Buyer is entitled to terminate this Agreement for convenience at any time without reason by giving at least 30 days’ prior written notice to the S. the S has no rights to claim for any losses and/or damages due to the termination under this Clause.
本契約上の「売り手」の説明および保証のいずれかまたはそれ以上の違反、および／または本契約の他の規定のいずれか、および／または個別販売契約の違反により発生する、「ユーザー」、また第三者への損害があった場合は、「売り手」が単独で、いかなる損失および損害に対しても責任を負うものとし、すべての点でかかる損害に対して上記の第三者に補償をするものとする。
条項14.1、または上記の条項4.2に示された前述にかかわらず、「買い手」は、S.に少なくとも30日前までに事前の書面による通知を与えることにより、理由なしでいつでも便宜上、本契約を解除する権利がある。Sには、本条項上、解除によるいかなる損失、および／または損害に対する賠償の支払いを要求する権利はない。
