(ⅱ)[Company Name] is unable to obtain relief, in whole or part, for tax deducted by Guarantor from sums
due pursuant to this Guarantee;the amount shall be payable in full and Guarantor shall reimburse [Company Name] for
any shortfall. Guarantor shall supply [Company Name] within thirty(30) days of [Company Name] requesting the same, all necessary
receipts and documentation to enable [Company Name] to apply for available tax credits in applicable jurisdictions; and

(c) not be subject to any deductions and neither suspended nor set off against other obligations or payments due
from [Company Name] to Guarantor.
