当会社は、社外取締役の間に、当会社に対する損害賠償責任に関する契約を締結することができる。ただし、その損害賠償責任の限度額は、１０万円以上であらかじめ定められた金額または法令が規定する額のいずれかを高い額とする。当会社は、社外監査役との間に、当会社に対する損害賠償責任を限定する契約を締結することができる。ただし、当該契約に基づく責任の限度額は、法令が規定する額とする。
The Company can close an agreement on damages liability against the Company among outside directors. However the maximum amount of liability for the damages shall be either the predefined one being higher than 100,000 yen or the amount prescribed by concerned laws or regulations in advance. The Company can conclude a contract with outside auditors to limit the liability for the damages against the Company. However, the limit of liability under the contract shall be the amount prescribed by concerned laws and regulations.
