12.6 Non-Waiver. The Parties covenant and agree that if a Party fails or neglects for any reason to take advantage of any of the terms providing for the termination of this Agreement or if a Party, having the right to declare this Agreement terminated, shall fail to do so, any such failure or neglect by such Party shall not be a waiver or be deemed or be construed to be a waiver of any cause for the termination of this Agreement subsequently arising, or as a waiver of any of the terms, covenants or conditions of this Agreement or of the performance thereof. None of the terms, covenants and conditions of this Agreement may be waived by a Party except by its written consent.
12.6 権利不放棄。当事者たちの契約と、もし当事者が失敗あるいはこの同意書の結果を認める条件のいずれかの利点を取るための理由を無視するということに同意し、解除されたこの同意書を明らかにする権利を持つことは、それをすることで失敗するであろうし、そのような当事者によるそのような失敗あるいは無視は放棄にはならずあるいは考えられずあるいはその後起こるこの同意書の終了の原因の放棄であるとは解釈されないし、あるいは条件のいかなる放棄、契約それにこの同意書の状態あるいはその実行のようにである。この同意書の条件、契約、状態はその書面の承諾による以外の当事者によって放棄されることはないことになる。
