12.3 Disclaimers. Neither PRODUCER nor any of their researchers, officers, employees, directors, or agents assume any responsibility for the Subject Product sold by CUSTOMER.
12.4 Independent Contractors. The Parties herby acknowledge and agree that each is an independent contractor and that neither Party shall be considered to be the agent, representative, master or servant of the other Party for any purpose whatsoever, and that neither Party has any authority to enter into a contract, to assume any obligation or to give warranties or representations on behalf of the other Party. 12.4 独立契約者。関係者はここにおいて、相互が独立した契約者であり、目的や理由を問わず関係者のうちだれも他の関係者のエージェントや代表者、主人、隷属者ではないこと、関係者は誰も他の関係者を代表したりほかの関係者に保障をあたえたり他の関係者の責任を取るため契約へ介入する権利を持たないことを承知する。この関係におけるいかなることも、信用上ジョイントベンチャーパートナーシップの関係を作るものと解釈されてはならない。
