which purposes shall include disclosure to subcontractors and second sources, both in accordance with nondisclosure agreements. The standard of care to be exercised by the receiving Party to meet these obligations shall be the standard exercised by the receiving Party with respect to its own proprietary information of a similar nature, but in no event less than due care.


5. OWNERSHIP

Each Party retains all rights and title to all Proprietary Information, in any form, disclosed to the other Party pursuant to this Agreement. Each Party acknowledges that such information is of substantial value and that any disclosure or misuse of such information is harmful to the originating Party.

そして目的は非開示契約に基づいて、下請け先ともう一つ下請け先にも開示を行うこと。受諾者がこれらの義務を実行するための配慮の基準は受諾者が自身の同じような性質の保有情報に関して行われるものであるが、万が一の場合はそれに該当しない。

5.所有権

各当事者は本契約に基づいて他社に開示されたあらゆる形式の保有情報を保持する権利を有する。各当事者はこの情報に重大な価値があることを認識し、情報の開示及び悪用が元の当事者にとって有害であることを認識せねばならない。

5.所有権

各当事者は、本契約に基づいて他の当事者に開示されたあらゆる形式の企業秘密に関するすべての権利および権原を保持する。 各当事者は、企業秘密が相当な価値があり、企業秘密の漏洩または誤用が発信当事者にとって有害であることを認識する。
