Microsoft will defend Company in a lawsuit in a third party claims that the Licensed Software or Service infringe its copyright,trademark or patent rights or misappropriates its trade secrets.If there is an adverse final judgment from the lawsuit, Microsoft will pay it for company. The third party may not be Company’s Affiliate.The terms “misappropriation” and “trade secret” will have the meanings defined in the Uniform Trade Secret Act,except if this Agreement is governed by the laws of a jurisdiction outside the USA,in which case “misappropriation” will mean “intentionally inlawful use” and “trade secret” will mean “undisclosed information” as specified in Article 39.2 of the TRIPs agreement.

Microsoft sẽ bảo vệ Công ty trong vụ kiện pháp lý mà công ty thứ ba khiếu nại rằng Phần mềm Bản quyền hoặc Dịch vụ vi phạm bản quyền, thương hiệu hay bằng sáng chế hoặc chiếm dụng bí mật thương mại. Nếu phán quyết cuối cùng gây bất lợi cho Công ty, Microsoft sẽ thanh toán cho công ty. Bên thứ ba có thể không phải là Đối tác liên kết với Công ty. Thuật ngữ "chiếm dụng" và "bí mật thương mại" sẽ có nghĩa được định nghĩa trong Đạo luật bí mật thương mại thống nhất, ngoại trừ nếu Thỏa thuận này được điều chỉnh bởi luật pháp bên ngoài nước Mỹ, trong trường hợp này "chiếm dụng" sẽ có nghĩa là "cố ý sử dụng bất hợp pháp" và "bí mật thương mại" sẽ có nghĩa là "thông tin không được tiết lộ" như được đề cập ở mục 39.2 của Thỏa thuận TRIPs.
