SELLER shall not directly or indirectly (i) sell, distribute, market, lease or otherwise make available the Products within the Territory except through ABC or (ii) grant a license to anyone other than ABC for the manufacture and/or sale of the Products within the Territory.
SELLER shall promptly refer to ABC all inquiries for the Products originating in or for ultimate delivery to the Territory.
The relationship between SELLER and ABC is solely that of seller and buyer. Nothing contained herein shall be construed or deemed to make the parties hereto joint venturers or partners or to constitute either party an agent or employee of the other.
売主は直接にも間接にも本製品をABCを通さずに本領域内で以下のことをしてはならない：(i)販売、配給、マーケティング、リースまたはその他の方法で引き渡すこと；または(ii)本領域内で本製品を製造および／または販売するライセンスを他者に許可すること。
売主とABCの唯一の関係は売主と買主としての関係である。本契約に含まれる何ものも、本契約の当事者にジョイントベンチャーやパートナーの関係を作るものと解釈されたり、あるいは一方の当事者が他方の当事者の代理人または従業員であると解釈されてはならない。
