Cheer plus株式会社（以下「甲」という。）とDominique P.Santos（以下「乙」という。）とは、以下のとおり業務委託基本契約（以下「本契約」という。）を締結する。
第1条（適用の範囲）
1. 本契約に定める条項は、甲乙間において本契約とともに締結され、または将来締結されることのある個別契約（第2項に定義）のすべてに共通に適用される。なお、個別契約において本契約と異なる規定をしたときは、個別契約の規定が優先するものとする。
2. 本契約に基づく甲から乙に対する具体的な業務の委託は、甲乙間で業務委託に関する個別の契約（以下「個別契約」という。）を締結することにより行う。
3. 甲は本契約の締結をもって、乙に個別契約の締結を約するものではない。
第2条（本業務）
本契約に基づき甲から乙に委託される業務（以下「本業務」という。）の内容は別途個別契約により定め、乙は専門的な知識または経験を有する、役員、従業員又は第7条に基づく再委託先により、本業務を遂行するものとする。
第3条（個別契約）
個別契約には、請負又は準委任の別、並びにその種類に応じて以下の取引条件の全部又は一部を協議の上定めるものとする。なお、本契約において、請負である個別契約を「請負個別契約」、準委任である個別契約を「準委任個別契約」という。

Basic ordering agreement (Hereinafter referred to as “Contract”) is made and entered into by and between Cheer plus Inc.（Hereinafter called “Consigner”）and Dominique P.Santos（Hereinafter called “Consignee”）, detail of which is as follows:
1. （Scope of Application）
1.1. Stipulations specified in Contract are to be agreed as Contract is made between the both parties, and equally applied to the individual agreement (Defined in section 1.2), which may also be made in future. In case stipulations that defers from Contract are specified in the individual agreement, stipulations specified in the individual agreement shall be prioritized.
1.2. Actual designated tasks outsourced to Consignee by Consigner in accordance with Contract shall be done when individual agreement for outsourcing (Hereinafter referred to as “Individual Agreement”) is made and entered into by the both parties.
1.3. Conclusion of Individual Agreement shall not be automatically promised to Consignee by Consigner with conclusion of Contract.
2. （Tasks）
The detail of designated tasks outsourced to Consignee by Consigner (Hereinafter referred to as “Tasks”) in accordance with Contracts shall be specified separately in Individual Agreement, and Consignee shall perform Tasks under specialized or experienced officer, staff or subcontractor in accordance with Clause 7.
3. （Individual Agreement）
Individual Agreement shall specify whether the contract is Independent contractor agreement or Quasi-mandate, and also all or parts of the terms and conditions specified below according to its type of contract. Also in Contract, Independent contractor agreement shall be referred to as “Independent Contractor Individual Agreement”, and Quasi-mandate agreement as “Quasi-Mandate Individual Agreement”

Consigner shall be able to amend the content of Tasks when it’s considered necessary with the condition of Consignee’s consent.
When both parties agreed the compensation is inadequate as the result of major changes in Tasks, the amount of compensation for outsourced tasks shall be negotiated.
