7. Indemnity
7.1 Dealer will defend and indemnify Cecilio (including reasonable legal fees and costs of litigation or other dispute resolution process,
including arbitration) against and hold Cecilio harmless from, any and all claims by any other party resulting from Dealer’s acts (other than
the mere marketing of the Products), omissions or representations, regardless of the form of action.
7.2 Cecilio is not liable and does not indemnify Dealer for any costs or other liabilities Dealer may incur. Dealer is acting as an independent
contractor for Cecilio and Dealer cannot bind Cecilio to any obligation except to the extent authorized in writing by Cecilio.

7.1 当該業者はCecilio を（訴訟、又は仲裁を含んだその他の紛争解決手続きに関する、合理的な弁護料及び諸費用を含む）、当該業者の（当該諸製品の単なるマーケティング以外の）作為、不作為又は代理行為に起因する他のいかなる当事者のあらゆる請求から、これらの行為の形式の如何に関わらず、保護また補償し、免責する。
7.2 Cecilio は、如何なる費用、又その他に当該業者が招いた負債について、一切の責任を負わず、又当該業者に補償しない。当該業者は、Cecilio に対して独立契約者として行動し、又 Cecilio の作成する書面上で認められている限度を越えては、Cecilio に如何なる義務も負わせることができない。
