Company hereby appoints the purchaser as its exclusive Agent to market and promote the Products, and to solicit purchase orders for the Products, in the Territory. Agent hereby accepts such appointment and agrees not to use a third party to perform its obligations pursuant to this Agreement without the prior written consent of Company. It is expressly agreed that the Agent has no authority to enter into agreements or make any commitments on the Company’s behalf.


In the event that the Supplier is unable to supply to the Purchaser an ordered Goods, the Agent may at its own discretion request the Supplier to substitute a good considered to be equivalent to the Goods.

本会社は、本契約により本購入者を、本地域に於いて、本製品の市場化及び販売促進、並びに本製品の発注の勧誘を行う独占的エージェントに指名する。本エージェントは本契約により、かかる指名を承認し、本会社による事前の書面による承諾を得ずに本契約に基く自己の債務を履行する為、第三者を用いない事に同意する。本エージェントが本会社に代わって、契約を締結し又はその他のいかなる約束を結ぶべき権限を有しない事は、明確に合意される。

本販売者が本購買者に発注を受けた本商品を供給し得ない場合には、本エージェントは自らの裁量に基づき、本販売者に対し、当該商品に準ずると考えられる商品をもって代替することを要請することが出来る。
