出資の比率
前回会議室でお話しの時に比率の変更を考えていると申しましたが、
やはり50:50でいきます。

秘密保持契約
弊社とトムさん達と、お店に関するものの秘密保持契約を結びたいです。
かいつまんだ内容は
・商標やレシピ、ノウハウ、知的財産など、弊社の許可なしに、第三者にもらしたり、利用したりしない。
勝手に弊社に不利益になるような行動はしない。
秘密保持の範囲と期限、内容などをしておきたいと考えています。
次の火曜日7月16日から作成に取り掛かります。

Nondisclosure Agreement
We as the company would like to enter a Nondisclosure Agreement with Mr. Tom and his company regarding the shop matters.
The summary of agreement will be as follows;
・ The trademark, the recipes, the know-how and the intellectual properties should not be used and/or disclosed for/to a third party without duly authorized written permission from our company.
・ Any and every acts which prejudice to our company should be prohibited.
In addition to above, the extent and validity duration of agreement shall be included.
We will start drawing up the agreement from next Tuesday, July 16.
