IRREVOCABLE ELECTION TO CONVERT

I hereby consent, pursuant to Article V, Section 5.1(a) of the Sixteenth Amended and Restated Certificate of Incorporation of Zynga Inc. , dated December 21, 2011, as amended, to the conversion of the number of shares of Class B Common Stock held by me and set forth on the next page into an equal number of fully paid and nonassessable shares of Class A Common Stock . I understand and acknowledge that this election to convert is irrevocable and will be effective as to the shares of Class B Common Stock held by me and set forth on the next page, without any further action by me.
