or (iii) products or services. Notwithstanding the foregoing, SUBCONTRACTOR’s obligations under this Section shall not apply to any claims which are finally determined by a court of competent jurisdiction to be occasioned by the negligence or willful misconduct of RPSEA.

(b) RPSEA shall promptly notify SUBCONTRACTOR of any claim against RPSEA which is covered by this responsibility provision and shall authorize representatives of SUBCONTRACTOR to settle or defend any such claim or suit and to represent RPSEA in, or to take charge of, any litigation in connection therewith.

前記にかかわらず、本セクションに基づく下請人の義務は、PRESAの怠慢又は悪意ある不正行為により生じたものであると司法管轄権を持つ裁判所が最終判断を下したクレームについては適用されない。

(b) PRESAはPRESAに対してクレームが出された場合であってそれがこの責任規定によりカバーされるものについては下請人に対して速やかにそれを通知し、下請人の代表者に当該クレーム又は訴訟を解決又は防衛する権限を与えるとともにPRESAがそれに関係する訴訟等に参加する又は引き受ける権限を与えるものとする。
