12.2 The parties agree to binding arbitration pursuant to the provisions of the AmericanArbitration Association, provided however, that this arbitration provision shall not preclude either Party from seeking injunctive relief from any court having jurisdiction with respect to any disputes or claims relating to or arising out of the misuse or misappropriation of either Party’s trade secrets or confidential and proprietary information. The arbitrator shall award costs and fees, including reasonable attorneys’ fees, to the prevailing party, or he/she shall be free to apportion costs and fees as he/she deems reasonable under the circumstances.
12.2 当事者たちは、米国仲裁協会の規定に従って仲裁の拘束力を持つことに同意するが、ただしこの仲裁規定はどちらかの当事者が、紛争あるいは関連の主張あるいは乱用から起こることあるいはどちらかの当事者の企業秘密または機密や独占の情報の悪用に関して司法権を持つ法廷から差し止め救済措置を求めるのを妨げないことが条件であればである。その仲裁人は費用を認めていて、有力な当事者に妥当な弁護士費用と含めていて、あるいは環境のもとに適切であると思われる費用の分配を無料でしてしている。
