causes of action, lawsuits or other proceedings filed or otherwise instituted against any of the CUSTOMER Indemnified Parties related directly or indirectly to or arising out of any action taken or omission by the PRODUCER. Each Party shall assume responsibility for all costs and expenses related to such claims and lawsuits for which it is obligated to indemnify the other Party, including but not limited to all reasonable attorneys’ fees and costs of litigation or other defense. The Parties shall each have product liability and other general insurance coverage for their respective business activities related to the Subject Product in commercially reasonable amounts.
訴訟理由、訴訟もしくはその他の手続き及び製造者によって生じた行為に直接的間接的に関連する利用者を保証するあらゆる当事者に対して設けられたもの。
各当事者は際限ないすべての合理的な弁護士費用や訴訟費用及び防衛費用を含めた、他者を保障することを義務付けられたクレームや訴訟に関連したすべての費用に対して責任を負うものである。当事者はそれぞれ製造物責任及び、商業的に合理的な金額の対象商品に関連したそれぞれの事業活動のその他一般的な保険の適応範囲を有する。
