●FHとGSの日本総代理店契約についてのdeal memo
以降、Fb Hatman を 「FH」、Gip sad Inc を「GS」と記載します。
・2015年7月8日～2016年1月末日の契約期間で、GSはFHの日本総販売代理店となります。
FHはこの契約期間内、GS以外の日本国内に販路を持つ会社や個人に卸売販売をしない。
・2016年1月に、2016年の年間最低発注量を協議して決める。
この際に2016年2月以降の契約更新を是非を決める。
決定後に本契約書を作成する。
Deal Memo on Exclusive Agency Agreement between FH and GS
Hb Hartman is referred to as "FH" and Gip sad Inc as "GS" hereafter.
GS will be exclusive agency in Japan from July 8, 2015 to January 31, 2016.
FH will not sell its products to corporations and individuals who sells in Japan during this contract period.
In January 2016, a minimum order number for 2016 will be mutually decided.
Contract renewal for a period starting on Feb 1, 2016 will be decided at this time.
A formal contract will be drawn up after an agreement is reached.
・GSはFHより、2015年12月までにの合計で$6,000分以上の商品を仕入れます。（初回注文の$3,000も含む）
・GSはブランド名Fb Hatmanの文字が入ったドメイン名を取得し、日本正規店となるwebショップを立ち上げます。
運営責任や運営コストはすべてGSが負担します。
・米国から商品発送の場合、FHからGSへの卸売販売価格は
Dealer Price Listの価格から25％OFFとする。
(しかし1度の発注が$3,500以上の場合は交渉の余地ありとする。)
GS will purchase products for a total of $6,000.00 (including the initial order of $3,000.00) by December 2015.
GS will obtain a domain name including Fb Hatman and establish a web shop as an official Japanese distributor.
GS will be responsible for its operation and incur all of the associated costs.
Wholesale price from FH to GS will be 25% of the Dealer Price List when products are shipped from U.S.
(There will be an option for price negotiation when an order is more than $3,500.00)
・米国から商品発送の場合、米国内送料や国際送料はGSが負担する。
現時点で合意できている内容をdeal memoとして書き出しました。
当社の希望も少し含まれています。
御社にとって不都合な部分があれば知らせて下さい。
