ข้อ 2 ให้คณะกรรมการตาม ข้อ 1 มีอำนาจหน้าที่ ดังต่อไปนี้
1.เสนอแนะนโยบาย แผนการบริหารและมาตรการในการทำภารกิจต่อคณะรักษาความสงบแห่งชาติ
2.กำกับดูแลและติดตามผลการดำเนินงานของรัฐวิสาหกิจ เพื่อให้การบริหารงานของรัฐวิสาหกิจเป็นไปอย่างมีประสิทธิภาพ และเกิดประสิทธิผลสูงสุด
3.บูรณาการการดำเนินการของรัฐวิสาหกิจให้มีความเป็นเอกภาพ
4.เสนอแนะแนวทางในการแก้ไขปัญหาด้านต่างๆ ของรัฐวิสาหกิจทั้งในด้านการบริหาร การดำเนินงาน และด้านการเงินต่อคณะรักษาความสงบแห่งชาติ
5.ส่งเสริมและสนับสนุนให้ภาคเอกชนเข้าร่วมลงทุนในกิจการของรัฐ
6.แต่งตั้งคณะอนุกรรมการ และคณะทำงานเพื่อช่วยเหลือการปฏิบัติงานได้ตามความจำเป็น
Directive 2: Board of Directors must follow directive 1, and shall have the following responsibilities:
1. Recommend to the National Council for Peace and Order policies, plans for execution, and measures for performing duties.
2. Direct and perform follow up on operations of state-owned enterprises to ensure efficient operations and optimal results of state-owned enterprises.
3. Create a self-dependent operations of state-owned enterprises by integration.
4. Recommend to the National Council for Peace and Order solutions for issues effecting state-owned enterprises including executive, operational, and financial issues.
5. Provide support and encourage the private sector to invest in state-owned enterprises.
6. Appoint a sub-committee and a working-committee to provide operational support as required.
