8.3 PRODUCER shall have the right, at its option, to cancel and terminate this Agreement in the event that CUSTOMER shall (i) become involved in insolvency, dissolution, bankruptcy or receivership proceedings affecting the operation of its business or (ii) make an assignment of all or substantially all of its assets for the benefit of creditors, or in the event that (iii) a receiver or trustee is appointed for CUSTOMER and CUSTOMER shall, after the expiration of thirty (30) days following any of the events enumerated above, have been unable to secure a dismissal, stay or other suspension of such proceedings.

8.3 プロデューサーは以下(1)〜(3)において、この協定の解約および終結の権利を選択肢として所有する。(1) 顧客が倒産、解体、破産もしくは管財手続きの状態にあり、事業運営に影響を及ぼす場合。 (2) 債権者の利益として全てもしくは実質上全ての財産の譲渡がなされた場合。 (3) 管財人もしくは被信託人が顧客に指名された場合。
さらに顧客は30日間が経過した時点で、上に列挙されたいかなる事態にあっても、解任、ステイ又は他のこういった手続きの停止を確保することはできない。
