（競業の禁止及び介入権） 第８条　業務執行社員は、他の社員全員の承諾を得なければ、自己若しくは第三者のために会社の事業の部類に属する取引をし、又は同種の事業を目的とする他の会社の業務執行社員あるいは取締役、執行役となることができない。 　　
２　業務執行社員が前項の規定に違反して自己のために取引をしたときは、その社員又は第三者が当該行為によって得た利益の額を会社に生じた損害の額と推定する。
