12. Governing Law. This Agreement shall be be governed by and construed in accordance with the laws of Thailand without regard to choice of law provisions. Any and all dispute arinsing from, or related to this Agreement shall be referred to and finally settled by arbitration under the Rules of Arbitration International Chamber of Commerce, conducted in English and by three (3) arbitrators, and to be held in Bangkok, Thailand Arbitration award shall be final, binding and non-appealable.
13. Attorneys’ Fees. If any action at law or in equity is brought to enforce or interpret the provisions of this Agreement, the prevailing Party in such action shall be entitled to reasonable attorneys’ fees.

１２．準拠法 本契約は、条項の選択に拘わらずタイ国の法律により支配及び解釈される。本契約もしくは同関連から発生する全紛争は、国際商業会議所の調停の規則により最終的に解決され、これは、３名の調停者によりタイのバンコクにおいて英語で行われる。調停の裁定は、最終的、拘束性を有し且つ控訴不可能である。
