5.3 Company shall promptly inform Agent～
(i) any change or amendment of name, capital, director, address, major shareholders of Company or Service Applicant or if there is any change or amendment of the details of Service:
(ii) termination or expiration of Service Agreement: or
(iii) any event as provided in Article 14.1 incurred.

7.9 Company agrees to indemnify Agent, Agent’s director and employees against all claims, damages, losses, and expenses, including reasonable attorney’s fees arising out of performance of Company Works under this Agreement that are caused in whole or in part by Company’s negligent act or omission or any misleading, misconduct against Agent, or that of anyone employed by Company.

(i)　名称、資本金、役員、住所、カンパニーまたは事業申請者の大株主の変更・改正、或いは事業内容の変更または改正があった場合
(ii)　業務合意書の終了または満了
(iii)　その他、第14条1に掲げる事項

7.9　カンパニーは、エージェントおよびエージェントの役員・従業員に対し、本合意に基づく CompanyWorksを行う上で生じ得る、すべて或いは一部でもカンパニーの過失、怠慢、誤認、不正行為に起因する如何なる主張、損害賠償、損失および弁護士費用を含む出費をも保障することに同意する。
